As a client of OnePath Solutions, you agree to:

• Pay all fees and charges as agreed in the applicable service agreement
• Use our services in compliance with all applicable laws and regulations
• Maintain the confidentiality of any login credentials provided
• Not use our services for any unlawful or unauthorized purpose

• Payment terms will be specified in individual service agreements or proposals
• Late payments may incur interest charges at a rate of 1.5% per month
• All fees are non-refundable unless otherwise specified in the service agreement
• Prices are subject to change with 30 days notice for ongoing services
• Taxes applicable in your jurisdiction will be added to the invoice

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, technical specifications, customer data, and any information marked as confidential. This obligation survives the termination of our services.

6. Limitation of Liability

To the maximum extent permitted by law, OnePath Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

7. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements. We do not make any warranties regarding the results obtained from the use of our services.

8. Termination

Either party may terminate the service agreement with written notice as specified in the individual contract. Upon termination:

• All outstanding payments become immediately due
• We will provide deliverables completed up to the termination date
• Confidentiality obligations will continue to apply
• Any licenses granted will terminate unless otherwise agreed

9. Indemnification

You agree to indemnify and hold harmless OnePath Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Hyderabad, India.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

12. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms and Conditions, together with any service agreements and proposals, constitute the entire agreement between you and OnePath Solutions and supersede all prior agreements and understandings.
